Terms of Service

Please review with counsel before you go live. The text below is a draft skeleton — it reflects how Beckes Unlimited LLC currently operates but has not been reviewed by a Utah-licensed attorney.

1. Who we are

Beckes Unlimited LLC (“Beckes”, “we”, “us”) is a Utah limited-liability company operating as a broadline wholesale distributor of grocery, foodservice, and packaged goods to licensed retail businesses (“Customer”, “you”). Beckes does not sell to end consumers.

2. Account eligibility

  • You must be an active retail business in Utah or Nevada with a valid resale-tax exemption on file (Utah TC-721 or Nevada equivalent).
  • Personal accounts, unlicensed resellers, and non-commercial buyers are prohibited.
  • Beckes reserves the right to accept or decline any account application at its discretion.

3. Ordering & Pricing

  • Prices displayed are wholesale-only and reflect the price the Customer will pay Beckes. Suggested retail (shelf) prices are guidance and are never billed.
  • Beckes currently operates in Quote-Request mode. Customers submit unpriced orders and Beckes returns a priced quote before payment is due. Nothing in this section obligates Beckes to accept every quote request.
  • Prices are held for 14 days from the date the priced quote is delivered. After that, Beckes may re-quote based on then-current wholesale costs.
  • Bulk / case-pricing rules apply as noted per SKU.

4. Payment

  • Payment terms are Net-15 unless a written contract states otherwise.
  • Accepted methods: ACH, business check, and — once enabled — credit/debit card via Stripe. Card surcharges may apply.
  • Past-due accounts may be placed on delivery hold and referred for collection.

5. Delivery

  • Beckes operates a Just-In-Time cross-dock model. Delivery windows are estimates and are not guaranteed.
  • Title and risk of loss pass to the Customer upon signed receipt at the delivery point.
  • Discrepancies must be noted on the delivery receipt at the time of delivery. See our Return & Refund Policy.

6. Utah Tax Exemption (TC-721)

Customers claiming a resale exemption must submit a valid, current Utah Form TC-721 during onboarding and re-submit whenever their exemption is renewed. Ordering is blocked until Beckes has approved the certificate on file. See our Privacy Notice for how we handle these documents.

7. FDA FSMA Traceability

Beckes maintains full lot-number traceability on every SKU that falls under the FDA Food Safety Modernization Act. In the event of a recall, Beckes will notify affected customers via the platform and by direct phone/text within 24 hours of receiving the notice.

8. Acceptable use

  • You will not scrape the platform, reverse-engineer pricing, or share your login with unauthorized third parties.
  • You will not use the platform to acquire product for resale outside your licensed retail location(s).

9. Limitation of liability

To the fullest extent permitted by Utah law, Beckes' total aggregate liability for any claim arising out of or related to the platform is limited to the amount paid by the Customer to Beckes in the six (6) months immediately preceding the claim. Beckes disclaims all warranties, express or implied, except as required by Utah statute.

10. Changes to these terms

Beckes may update these terms with 30 days' notice via in-platform notification. Continued use after the effective date constitutes acceptance.
